Consumer Terms

These Consumer Terms and Conditions (“Terms & Conditions”) of Micahla Wilson Ltd. supersede all prior versions previously in effect between Micahla Wilson, its subsidiaries, affiliates, and you. Your use of any Micahla Wilson website is governed by that site’s terms of use (“Terms of Use”), but in the event of any conflict, these Terms & Conditions take precedence. The English version of these Terms and Conditions is the controlling language.

Services and Activities

Micahla Wilson partners with service providers (“Vendors”) to offer solutions for consumers seeking services (“Consumers”). Through Micahla Wilson, Vendors can engage in various projects with accompanying work statements for a fee or other consideration (“Projects”). Vendors may also participate in other activities via the Micahla Wilson platform, such as:

• Selling reports and other syndicated content through Micahla Wilson’s online platform and/or partner sites.
• Joining online discussions with other Vendors and/or Consumers.
• Engaging in networking and educational opportunities (e.g., posting white papers and other content).

Consumer Information

You agree to provide Micahla Wilson with accurate and up-to-date biographical information, promptly updating any changes. Micahla Wilson may verify information provided by or about you. When interacting with Vendors, you agree to allow your name, mobile, and email address to be disclosed to them for follow-up on your interests.

Your personal profile information, photos, and other information you share with Micahla Wilson or Vendors is considered your “Consumer Information.” You are responsible for maintaining and updating it, ensuring its accuracy. Micahla Wilson, Vendors, and third-party partners rely on your Consumer Information.

Project Assignments and Scope

Your participation in Projects and platform activities is voluntary. All interactions must be arranged through Micahla Wilson or its systems. You may not expand the scope of a Project without Micahla Wilson’s written approval.

Accepted Projects are non-cancellable and non-refundable. Neither you nor Micahla Wilson can terminate a Project before completion.

Consumer Responsibilities

You must provide your own equipment and means to access the World Wide Web and Micahla Wilson’s services, such as a computer, modem, telecommunication facilities, or other access devices.

You are responsible for the security of your password(s) and user ID(s) provided by Micahla Wilson upon registration. All activities under your account, user ID(s), or password(s) are considered authorized by you. You are liable for all associated costs, fees, and expenses.

Accessing and using the services should be for your business purposes only. You cannot use the services for resale, distribution, or unauthorized usage without Micahla Wilson’s permission.

You agree to assist Micahla Wilson as requested. Additionally, you agree to indemnify and hold Micahla Wilson and its representatives harmless from any loss or liability arising from:

• Breach of these Terms & Conditions.
• Any willful, unlawful, or negligent act by you, your employees, agents, or contractors.

Provide Micahla Wilson with your contact information and promptly update any changes. Micahla Wilson will use reasonable efforts to contact you using the latest information provided, but it is not liable if you cannot be reached after two attempts within a two-week period.

Non-Solicitation

For one year after ending your relationship with Micahla Wilson, you agree not to solicit employment from any Micahla Wilson employee or Vendor first introduced to you due to your status as a Consumer. Micahla Wilson reciprocates this commitment unless otherwise agreed in writing.

Confidentiality

“Confidential Information” includes information about Vendors, Projects, business transactions, and other proprietary information of Micahla Wilson or its Vendors. Confidential Information does not include information that is publicly available, already in your possession, acquired from third parties without restrictions, or independently developed without using the Confidential Information.

Confidential Information must be retained confidentially and used solely for Projects. Disclose it only to individuals who need to know. Take responsibility for any harm caused by unauthorized disclosure.

After a Project’s completion or termination, return or destroy all Confidential Information within 14 days of a written request.

Content

You warrant that any materials you submit, upload, or provide to Micahla Wilson are your intellectual property or you have necessary permissions. Avoid submitting any unauthorized, unlawful, or misleading content that violates these Terms & Conditions.

Intellectual Property Rights

“Vendor’s IP” refers to the Vendor’s pre-existing intellectual property, while “Foreground IP” is intellectual property created during Projects, excluding Vendor’s IP and Confidential Information.

Vendor’s IP remains the Vendor’s sole property. Participation in Projects doesn’t grant you rights or ownership in Vendor’s IP. You may use Vendor’s IP solely for the purposes of the Project.

Foreground IP becomes your property upon full payment for the Project. Until then, Vendor retains ownership, and you receive a non-exclusive, non-transferable, royalty-free license to use it. After full payment, the Vendor assigns Foreground IP rights to you.

Additional Content Provisions

• Syndicated Content: The Vendor retains ownership of content submitted for sale or license outside of Projects. Micahla Wilson may market such content online.
• Micahla Wilson Publications: Content submitted for publication by Micahla Wilson belongs to Micahla Wilson.
• Recordings/Transcriptions: Your image and voice may be recorded during Projects. Micahla Wilson retains ownership of such recordings.
• Reference Program: Micahla Wilson may invite you to participate in a reference program for marketing purposes.
• Content License: For all other content, you grant Micahla Wilson a perpetual, worldwide, royalty-free, and exclusive license to use and modify your content for commercial or non-commercial purposes.

Agreement Details

• Right to Injunction: If you breach or threaten to breach confidentiality, non-solicitation, or website terms of use, Micahla Wilson and/or the Vendor may seek an injunction to prevent the breach.
• Limitation on Liability: Micahla Wilson is not liable for damages arising from your participation as a Consumer or in relation to Vendor services. You are responsible for your actions.
• Severability: The invalidity of any provision does not affect the validity of other provisions.
• Survival of Certain Provisions: Non-solicitation, confidentiality, privacy, reliance, and other relevant sections survive any termination or expiration of these Terms & Conditions.
